ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.
On January 20, 2006, the Board of Directors of Sonus Networks, Inc.
elected Howard E. Janzen to its Board of Directors and appointed Mr. Janzen to
serve on the Board's Audit Committee.
